Changes in the Model Business Corporation Act—Amendments Relating to Chapters 8 and 13

The Committee on Corporate Laws of the ABA Section of Business Law (Committee) from time to time makes changes in the Model Business Corporation Act (the Act). By publication after second reading in the May 2006 issue of The Business Lawyer, the Committee proposed changes, as a result of its review of the disclosure provisions of the Act, to the Official Comment to section 8.30 of the Act and to sections 13.20 and 13.24 of the Act and related Official Comments. At its meeting on December 6, 2006, the Committee adopted these changes, but with further changes to the addition to the Official Comment to section 8.30 and to the Official Comment to section 13.20 designed to streamline those comments.
