跨国并购的成功主要在于并购整合过程,而针对新兴市场参与跨国并购整合的研究还极缺乏。本文以上海汽车集团并购罗孚的知识产权和技术平台核心技术以及Ricardo2010研发中心为案例,分析了其并购整合所采取的区域制组织结构及其产品策略。通过并购整合,上汽有效吸收和消化了罗孚的技术,实现了本土汽车自主品牌的跨越式发展。%The success of cross -border M&A is mainly determined by the post -acquisition integration process,but study on the post - acquisition integration of cross-border M&A is insufficient. Taking it as a case study that Shanghai Automotive Industry Corporation(SAIC) has acquired Rover's core technology of intellectual property and technology platform, and the R&D centre of Ricardo 2010, this paper analyzed the regional organization structure and its product strategy within the post -acquisition integration,through which SAIC has effectively absorbed and digested Rover's technology to achieve the leapfrog development of local car brand.
