PROBLEM TO BE SOLVED: To provide: a microlens substrate with a color filter, the microlens substrate solving the problem such as color mixings, wherein both microlenses and color filters can be inexpensively fabricated on the same substrate with high positional accuracy; an electronic apparatus; and a method of manufacturing the microlens substrate with the color filter.;SOLUTION: The microlens substrate 20a has a first translucent substrate 21 having first recesses 21a formed thereon filled with color filter materials, and the color filters 22(R), (G), (B) also function as microlenses. On the surface of a second translucent substrate 24 covering the color filters 22 (R), (G), (B), a light shielding layer 25a is formed inside a second concave portion 24a and thereby, the color filters 22(R), (G), (B) are nearer to the light shielding layer 25a by the depth of the second concave portion 24a.
