The laws of six New England States that affect the formation or organization of health care institutions are analyzed. Special attention is paid to health maintenance organizations in the 19-volume study. The six States of DHEW Region I are Connecticut, Maine, Massachusetts, New Hampshire, Rhode Island, and Vermont. Two primary types of laws are examined: laws authorizing organizational forms potentially available to health care institutions, and laws regulating in some way the initial formation and operation of health care institutions. The relevant provisions of selected statutes are described for each State, followed by a summary of the legal climate for innovative health care institutions in that State. Such traditional legal forms of organization as the for-profit business corporation, the nonprofit corporation, general partnership, and limited partnership are described. Other forms of business regulation are included for each of the six States. Planners should be able to examine a State's legal analysis to determine which organizational form best meets their needs, or, they may study the entire region's legal climate in order to decide on the most advantageous location for a health care institution.
