The well-known CLR-estimate for the number of negative eigenvalues of the Schrodinger operator — A -f- V is carried over to a class of second order differential operators, generalizing the magnetic Schrodinger operator. The coefficients in the magnetic operators are variable, they may be non-smooth, unbounded and some degeneration is allowed.
