Earlier this year in Fairford Water Ski Club Ltd v Cohoon& ors [2020] EWHC 290 Comm the High Courtconsidered the legal principles relating to directors’duties.All directors owe duties to their company. Althoughdirectors are subject to certain specific duties undervarious pieces of legislation, they are also subject toseven over-arching general duties set out in theCompanies Act 2006 which apply to all their activities.
