多样化经营的探讨与思考——以国内某上市公司为例

摘要

企业在扩张到一定规模后进行多元化发展是很常见的现象。在中国，上市公司一般都是某个细分行业内的龙头企业。除此以外，这些公司也会在主营业务外进行大规模投资，以期获得新的成长空间和利润来源。在管理科学和金融学界，关于公司寻求多元化的动机一直是热门话题。相比于集中精力深耕一个行业，多元化是否会折损公司价值、有违股东利益也是几十年来一直存在的争论。
　　本文涉及的公司2008年在深圳上市，主营业务包括工业长丝，轮胎帘子布和灯箱广告布。但是从2011年起，公司相继宣布成立子公司生产锂电池正极材料，投资金矿开采企业和建造总部大楼并经营五星级酒店业务。可以说，这些动作与公司一贯坚守的具有清晰产业链协同效应的主营业务没有任何联系。在学术界这被称为跨行业多样化经营，与公司之前在相关领域丰富产品线的做法有着本质的区别。
　　本文以该上市公司为例对公司进行多样化的动机，如何进行多样化等实际问题进行了探讨。另外，作者也就股票市场对该公司进行多样化的反应进行了分析。不同于针对多样化经营更加普遍的实证分析，本文以案例研究的形式，能够以更加灵活的方法和全面的覆盖，对该问题进行深入而细致的探讨。另外，基于本文行文的设计，也可以被用做《公司金融》、《公司战略》等课程的教学材料。
